However, in order for you to use our Services, you may also be required to agree to additional terms and conditions. Those additional terms and conditions is incorporated in our Privacy Policy page and is considered part of this Agreement. You must review our Privacy Policy by clicking on this link. If you do not accept and agree to being bound by all of the terms of this Agreement, including the website (www.rupii.com) Privacy Policy, do not use this Website or our Services.

3. Amendment of Terms and OUR Content

We reserve the right to modify, change, add or remove portions of these terms and any content on our website we deem inappropriate at any time without prior notice or your consent. You are required to check these terms regularly prior to using our website to ensure you are aware of any modification or updates. We will endeavor to highlight any significant or substantive changes where possible. If you choose to use our services or website then we will regard that use as conclusive evidence of your agreement and acceptance that these terms govern you and Rupii.

4. Creating an Account

You can browse our website without registering for an account but to use some of our website functions, you’ll need to register (one account per user), choose an account name, and set a password. By signing up as a member you acknowledge you have read our terms and conditions and privacy statement. Your account is not transferable or assignable and is void where prohibited. our website and services are intended solely for users who are at least (18) years of age or older. Any registration by, use of, or access to our website by anyone under that age is unauthorized, unlicensed, and in violation of these Terms and Conditions. By using our website and/or services you represent and warrant that you are (18) years of age or older and agree to abide by all the terms and conditions of this Agreement.

Rupii membership is FREE. To complete the sign up process the registering user is required to send a scanned copy of current valid government issued Passport (top and bottom pages), or scan of Driver's License (must be clear) to Connect@Rupii.com in the following format;

Real identification is crucial to a safe selling and buying community otherwise membership will be denied.

When you complete the registration process, you will receive a password that will allow you to access our Website. You agree to maintain the confidentiality of your password and are fully responsible for all liability and damages resulting from your failure to maintain that confidentiality and all activities that occur through the use of your password.

You agree to immediately notify us of any unauthorized use of your password or any other breach of security. You agree that our Website cannot and will not be liable for any loss or damage arising from your failure to comply with password security as discussed herein.

5. SERVICE TERMS

Listing and Selling Digital Assets.

Approved members can list their top-level domain names, brokered domain name, website or app. Listing a brokered domain name requires a member to purchase the current brokage feature for $20 which will be renewed by same amount monthly for a limited time as fees shall change. Brokered domains are to be featured on front page and store page.

Approved members can also sell a domain to Rupii™, such domain must be Top-Level Domain or One Dictionary word (sales can be approved or denied at Rupii's discretion). The member who wishes to sell a domain to Rupii™ will have to list their digital asset through the "sell to Rupii" menu on our website. For a member to sell a website to Rupii™ such member is required to send unaltered screenshots of "Google Analytics" to Connect@Rupii.com

Any discovery of falsified data or information will lead to immediate termination of membership.

Buying Digital Assets

Domains NOT labeled "broker/brokerage/brokered) belong to Rupii and may proceed to checkout (pay) through any of the following payment processing platform; CC(Stripe), Paypal, Square or Cryptocurrency.

Purchasing a brokered asset requires a buyer to pay through Rupii Escrow Service for safe holding using the following information;

*fees may apply to the selling member unless they negotiate with the buyer to cover fees.

Delivery of Purchased Digital Assets and Release of payment by Rupii Escrow

Upon payment and confirmation of payment, the purchased asset(s) are to be released to the buyer. The seller and buyer must confirm delivery and receipt of the digital asset(s) respectively before payments send through Rupii Escrow will be released to the seller minus commissions and fees (see below)

Commission and Charges

All successful sale of any digital asset attracts a 30% Commission deducted from the sale and other applicable fees (bank transfer charges) charged to the buyer and seller according to their respective bank policy.

Refunds Policy

All sales are final.

Payments are only refunded to the buyer if the buyer made payment into Rupii Escrow for safe holding of funds. The buyer must confirm the legal registration of the domain name(s), website(s), app (s) has been successfully received in their name or entity otherwise the funds held in Rupii Escrow shall be returned to the seller only with valid evidence that the digital asset has not been received which can take hours to weeks.

No warranty for assets offered by a seller

You acknowledge and agree that Rupii™ does not examine or obligated to examine the digital assets listed by a seller and has no control whatsoever on the actual quality, legality or the fitness for any purpose. We do not check the assets for copyright infringement and do not provide warranty for or guaranty that the end result of service is proportionate to what was promised. Every communication ensured between Seller and Buyer on the platform are at their own accord without the slightest responsibility of Rupii, we may monitor the conversation for the security of our website, those of users or the world outside Rupii but we do not guarantee whatever that is exchange at that medium. To the full extent permitted by law, Rupii will not accept or assume any liability whatsoever in respect to such service.

Your obligations as a Seller

If you are a Seller, you must ensure that the services you listed are accurately described. You agree that all information you provide us regarding yourself and the asset(s) is accurate.

You shall not list any asset unless through Rupii™ Brokerage:

which you cannot sell to the Buyer free from all charges liens and encumbrances;

which is prohibited or which is in contravention of any law or regulations governing the sale of the same;

which is a reproduction or sale of any item or service which infringes any copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy or any other form of property or proprietary rights, whether intellectual or otherwise that belongs to a third party;

which contains defamatory, trade libelous, unlawfully threatening or unlawfully harassing statements whether such statements be in the form of words, drawings, photographs, 3-dimensional representations or otherwise;

which contains child pornography.

By offering to sell an asset on our website, you, as Seller warrant and undertake that:

the information supplied by you is correct and accurate in all material respects, and shall not (1) contain defamatory, trade libelous, unlawfully threatening or unlawfully harassing statements; (2) contain obscene material or child pornography; (3) contain any viruses, Trojan horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
you will not list or offer or sell any asset which, by selling to Buyer or paying to Rupii Brokerage any Fees, could cause Rupii or the Buyer to violate any applicable law, statute, ordinance or regulation.
you must not engage in any illegal or fraudulent practice that will sabotage the image of our platform or illegal tactics that will sabotage competition or defame other Sellers by any means.

6. COPYRIGHT

All software, technology, and content on our website is solely licensed property of Rupii™ or our content suppliers and is protected by the United States and International copyright laws. All technical compilation (meaning the programming, collection, interface, assembly, and arrangement) of all content on the website is the exclusive property of Rupii and protected by the United States and International copyright laws. Rupii™ hereby gives you permission to view and use the technology, content, and services made available to you on our website. Any other use, including the modification, reproduction, transmission, distribution, and republication of our content, software, and technology on the website is strictly prohibited.

7. Other Intellectual Property

All other intellectual property rights related to the software, interface, technology, and contents included on our website or used in the operation of the website or for providing you our services including without limitation, titles, trade secrets, technical know-how, moral rights, patents, publicity rights, character rights, and artistic are owned and licensed property of Rupii™. Our website contains our trademarks and service marks and those of our affiliates or third party companies in the form of graphics, words, and logos where applicable. 13. Limited Liability
